These Terms of Service (the “Terms”) govern your purchase and use of the Growth SEO service (the “Service”) provided by Simple SEO Marketing Ltd., a British Columbia company (“Agency,” “we,” “our,” or “us”). By completing checkout via Stripe and checking the box agreeing to these Terms, you (“Client,” “you,” or “your”) enter into a binding agreement with Agency effective as of the checkout date (the “Effective Date”). These Terms are intended to function as a contract between the parties.
1) The Service and Scope
Growth SEO is a bundled, ongoing subscription that may include, as applicable and at Agency’s discretion to achieve results:
- Website Care Plan (includes hosting, core/CMS/plugin updates, security monitoring, and routine maintenance)
- Google Business Profile (GBP) management & optimization
- Review Vault (review generation & management portal)
- Technical SEO
- Web design and development (limited): includes up to two (2) hours of development time per billing cycle using existing templates, layouts, and designs. New design and layout development is billed at $150 CAD/hour.
- Content and on-page optimization, local listing cleanup, and related SEO activities
The Website Care Plan and Review Vault are included as part of the Growth SEO service. The exact mix, cadence, and deliverables may vary month to month based on strategy.
1.1 Optional Add-Ons (Selectable at Checkout)
Client may add optional services to the Growth SEO subscription via the payment link at signup. Add-ons are co-termed with the Growth SEO plan and billed monthly as part of the same Stripe subscription:
- Additional Google Business Profiles (GBPs): Each additional verified GBP location added at checkout is managed under the Service. Each added GBP is treated as its own location with the same responsibilities and measurement mechanics. The Guarantee in Section 5 applies per GBP add-on (subject to Sections 5.3 and 5.4) unless otherwise stated at checkout. A suspension or issue affecting one GBP location does not impact the Guarantee for other active, verified GBP locations under separate add-ons.
- Additional Articles: Monthly quantity of articles/content pieces, if selected at checkout, delivered as part of ongoing SEO/content work. Specific word counts, topics, or briefs are determined collaboratively and may vary by strategy.
- Additional Hours of SEO: Extra monthly hours for SEO/optimization beyond the base scope, as selected at checkout. These hours are applied to priorities determined by Agency strategy and Client input.
Changing add-on quantities after signup: At Client’s request, quantity changes are implemented by creating a new subscription for the changed amount(s) with a new start date; this may result in multiple concurrent subscription payments.
1.2 Website Care Plan — Inclusions & Exclusions
Included: daily backups retained for 1 month; 99.9% uptime (when hosted by Agency); malware monitoring & cleanup; staging environment usage; Agency-provided plugin licensing; CDN usage.
Excluded: email hosting and setup.
2) Term, Commitment & Cancellation
- Initial Commitment. The Service has a three (3) month minimum term beginning on the Effective Date (the “Initial Term”).
- Month-to-Month Thereafter. After the Initial Term, the subscription renews month-to-month until cancelled.
- Client Cancellation (Post-Initial Term). You may cancel for convenience with 30 days’ written notice via email to kevin@simpleseo.biz before the next scheduled payment. Your Service continues through the end of the then-current paid period.
- Early Termination (During Initial Term). If you cancel before the end of the Initial Term, you authorize Agency to charge the remaining balance of the full three (3) months immediately.
3) Fees, Billing & Taxes
- Base Fee. The base subscription fee is $1,500 CAD per month, exclusive of taxes. Applicable GST/PST/HST will be added based on your location.
- Additional Design/Development. New design or layout development beyond the included hours in Section 1 is billed at $150 CAD/hour (billing is hourly).
- Add-Ons. If Client selects Additional GBPs, Additional Articles, or Additional Hours of SEO at checkout, the corresponding charges will be added to the monthly Stripe subscription and billed on the same cycle as the base fee. Add-on pricing is as listed on the checkout/payment link at the time of selection. Post-signup quantity changes create new subscriptions with new start dates and may result in multiple concurrent subscription payments.
- Coupons. If any coupon or promotional discount is applied at signup, the Guarantee (Section 5) is void.
- Stripe Billing Cycle. Your card on file will be charged via Stripe monthly on the same calendar day as your signup date (e.g., sign up on the 15th → future charges on the 15th). No proration applies.
- Failed Payments. Stripe will attempt up to three (3) retries over seven (7) days. If payment is not successful within 7 days, the agreement auto-cancels with no refund, and any new engagement will be at Agency’s then-current pricing.
- Chargebacks (Simple Policy). If a payment is disputed or charged back: (i) all services pause immediately; (ii) services will not resume under the existing agreement; (iii) Client is responsible for Stripe/bank dispute fees; and (iv) Agency may terminate for cause and pursue any unpaid amounts owed for the three-month minimum term (if applicable). Continuing service, if any, requires a new contract at then-current pricing.
4) Client Responsibilities (Condition of Service & Guarantee)
To enable the Service and keep the Guarantee valid, Client will:
- Send the “feedback link” (provided by Agency) to all past and future customers to encourage review generation and service feedback.
- Provide at least ten (10) photos via the password-protected upload link, clearly showing who you are, what you do, where you do it, and why you’re trustworthy. Additional photos may be requested.
- Maintain NAP consistency: No rebrands, address changes, or phone number changes during the guarantee period. Any such changes void the Guarantee.
- Provide and maintain access for Agency: GBP admin, website/CMS editing, GA4, Google Search Console, and DNS/hosting access.
- Provide approvals and responses within two (2) business days of requests and notifications.
- Onboarding timeline. Onboarding tasks and the baseline scan will be set within five (5) days after payment and all required access has been granted and confirmed via email.
Failure to meet these responsibilities pauses work as needed and may void the Guarantee (Section 5).
5) Performance Guarantee (Local Map Results)
5.1 What’s Guaranteed
Agency guarantees that for at least one (1) of the three (3) approved keywords, the median position across the center 3×3 grid points of the monthly Merchynt scan will be less than or equal to three (≤ 3) on the third scheduled scan following the baseline scan (the “Guarantee”).
- Keywords. Client may select the three (3) keywords. If Client does not select them within five (5) business days of request, Agency may select on Client’s behalf. The Guarantee applies if any one of those three keywords meets the threshold.
- Measurement Tool & Cadence. Results are measured using Agency’s whitelabeled Merchynt grid-scan software, run monthly on the 2nd of each month. The grid may be larger (e.g., 13×13 points), but only the center 3×3 points (with the verification address at the center point) are used for the Guarantee determination—regardless of radius distance. The median is the middle value of the nine (9) ranked positions (after sorting).
- Timeline. After signup: (i) Agency performs a baseline scan; then (ii) three (3) scheduled scans occur on the 2nd of each month. The Guarantee is evaluated on the third scheduled scan, which may land close to four calendar months after signup depending on your signup date.
- Disputes. If Client contests a scan result, Client must email a detailed explanation within five (5) business days of receipt; otherwise, the reported result stands.
5.2 Remedy if Not Met
If the Guarantee is not met (i.e., none of the three approved keywords achieves a median position ≤ 3 on the third scheduled scan), Agency will refund the first three (3) months’ subscription fees actually paid by Client. Refunds are made to the original payment method within 15 business days after confirmation.
5.3 Voided or Excluded
The Guarantee is void if: (a) a coupon/promotion was applied at signup; (b) Client fails to meet Client Responsibilities (Section 4); (c) Client changes name, address, or phone (NAP) or rebrands during the guarantee period; (d) there is a chargeback or payment failure per Section 3; (e) Client or a third party implements changes that materially impact rankings without Agency approval; (f) the GBP is suspended for reasons outside Agency’s control; or (g) Client breaches the warranties in Section 9 (including not owning/having rights to provided materials). A suspension or issue affecting one GBP location does not void Guarantees for other active, verified GBP locations.
5.4 Google Business Profile Suspension
If the Client’s GBP is suspended, the Guarantee is void for the duration of the suspension. Services and payments continue during the suspension period. Agency will provide profile reinstatement assistance and advocate to Google on Client’s behalf for reinstatement of the profile and its reviews. Upon reinstatement with a verified profile, the engagement continues under the standard month-to-month contract terms.
6) Hosting, Domain & Migration
- Domain Ownership. Client owns its domain(s).
- Hosting. If hosting is provided as part of the Service, it is provided for the active subscription term only and subject to Section 1.2.
- Migration on Termination. Upon termination or cancellation, Client is responsible for migrating to a new host within thirty (30) days of the written notice of cancellation. Agency will provide reasonable export assistance of site files/content within that 30-day window.
7) Intellectual Property & Licenses
- Mutual, Ongoing Use. Content, designs, and code created during the engagement may be used by both Client and Agency during the engagement and after termination. Client may continue to use the content, designs, and code; Agency may use them for marketing and advertising (e.g., portfolios, case studies), provided no Client confidential information is disclosed. At Client’s written request, Agency will reasonably anonymize/redact sensitive Client identifiers in public marketing uses.
- Agency Tools. Agency retains ownership of its processes, templates, scripts, and tools. Agency grants Client a non-exclusive, non-transferable license to use outputs on Client’s owned properties for business purposes.
8) Confidentiality & Privacy
Each party will keep the other’s non-public information confidential and use it only to perform under these Terms. We process personal information in accordance with our privacy practices and applicable law. See our Privacy Policy at https://simpleseo.biz/policies/privacy-policy/ (you agree to any updates as posted there).
9) Representations, Disclaimers & Fair Use
- Client Warranties & Compliance. Client represents and warrants that: (i) it owns or has all necessary rights and permissions to all materials it provides (e.g., logos, images, copy); (ii) its operations and content comply with applicable laws and platform policies (including Google’s GBP guidelines); (iii) information it provides is accurate; and (iv) it will not request Agency to implement deceptive or prohibited practices. If Client breaches these warranties—including failing to own or have rights to provided materials—the Guarantee is void, and Agency may pause work until the breach is cured.
- Authorization to Act. Client authorizes Agency to make reasonable updates and changes to Client’s GBP, website, listings, analytics, and DNS/hosting settings as necessary to perform the Service. Simple SEO Marketing Ltd., as the subject-matter expert, will determine what is “reasonable” in executing the agreed strategy; Agency will act in good faith and in Client’s best interests and notify Client of material changes.
- Publishing Authority & Approvals. By agreeing to these Terms, Client grants Agency authority to create, schedule, publish, and approve posts; upload, manage, and publish photos and videos; and draft and publish review responses on Client’s behalf on properties within scope (including, without limitation, Google Business Profile, Client’s website/blog, and connected review or listing platforms). Client remains responsible for the accuracy and legality of all content published for Client and may request edits or removal; revocation of publishing authority requires written notice and may pause or limit the Service while alternative approval workflows are put in place.
- AI-Assisted Services & Consent. Client acknowledges and consents that Agency may use artificial intelligence (“AI”) tools and services (e.g., for drafting, analysis, content generation, code suggestions, image processing, reporting) provided by Agency and/or reputable third parties. Deliverables may include AI-assisted or AI-generated components. Agency uses commercially reasonable settings to opt out of provider training on Client content where available and to protect confidentiality; however, some processing may occur on third-party systems and/or outside of Canada. Client remains responsible for reviewing and approving deliverables, ensuring they meet Client’s legal/regulatory requirements and brand standards, and warrants that Client has rights to any inputs it supplies to Agency for AI processing. Platform rules (e.g., Google, GBP, review platforms) may limit or reject certain AI-generated materials; Agency will act in good faith to follow applicable rules but does not guarantee acceptance by third parties.
- Disclaimers. Except for the Guarantee in Section 5, the Service is provided “as is” and “as available.” SEO results depend on search engine algorithms, competitive activity, and platform policies outside our control; we do not warrant specific rankings beyond the Guarantee.
10) Limitation of Liability
To the fullest extent permitted by law: (a) in no event will Agency be liable for indirect, incidental, special, consequential, or lost-profit damages; and (b) Agency’s aggregate liability arising out of or related to the Service will not exceed the fees paid for the first three (3) months of the subscription.
11) Termination for Cause
Either party may terminate for material breach not cured within ten (10) business days after written notice. Termination for cause is without prejudice to any other remedies.
12) Governing Law, Venue & Notices
- Governing Law & Venue. These Terms are governed by the laws of the Province of British Columbia, without regard to conflicts rules. Courts located in Kelowna, British Columbia will have exclusive jurisdiction.
- Notices. Legal notices to Agency must be sent to: Simple SEO Marketing Ltd., 1028 Cushing Ct, Kelowna, BC, Canada, V1Y 8W7 and kevin@simpleseo.biz. Notices to Client may be sent to the billing email used at checkout.
13) Subcontractors & Non-Exclusivity
Agency may use vetted subcontractors and third-party service providers. Nothing in these Terms restricts Agency from providing similar services to other clients, including competitors, provided Agency complies with confidentiality obligations.
14) Relationship of the Parties
The parties are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship beyond the limited authorization in Section 9.
15) Survival, Severability & Waiver
Provisions that by their nature should survive (including Fees, IP, Confidentiality, Disclaimers, Limitation of Liability, Indemnity, Governing Law & Venue) survive termination. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in effect. Failure to enforce any provision is not a waiver.
16) Out-of-Scope Work
Unless expressly included in the Service or an add-on, the following are out of scope: paid ads; copywriting beyond agreed deliverables; photography/videography; social media management; complex development (custom plugins/apps); e-commerce operations; email deliverability; and legal compliance review of Client content.
17) Indemnity
Client will defend, indemnify, and hold harmless Agency and its personnel from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) Client’s content, products, or services; (b) Client’s breach of these Terms; or (c) Client’s violation of laws or platform policies. Agency will promptly notify Client of any claim and cooperate reasonably at Client’s expense.
18) Miscellaneous
- Entire Agreement. These Terms constitute the entire agreement and supersede prior proposals and understandings regarding the Service.
- Amendments. We may update these Terms from time to time; changes apply prospectively and will be posted at simpleseo.biz. Material changes will be communicated to the billing email on file. (Near checkout, include: “By checking this box, you agree to the Terms of Service and authorize recurring monthly charges until cancelled under Section 2.”)
- Assignment. Neither party may assign without the other’s consent, except Agency may assign to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets.
- Force Majeure. Neither party is liable for delays/failures due to events beyond reasonable control.
- Electronic Acceptance. Checking the box during Stripe checkout constitutes electronic acceptance of these Terms.
19) Standalone Services — Basic Website Care Plan
This section applies only when the Basic Website Care Plan is purchased independently (i.e., not bundled with Growth SEO).
- Scope. As outlined in Section 1.2 (Website Care Plan — Inclusions & Exclusions): daily backups retained for 1 month; 99.9% uptime when hosted by Agency; malware monitoring & cleanup; staging environment usage; Agency-provided plugin licensing; CDN usage. Email hosting and setup are excluded. No SEO strategy or implementation work is included in the standalone Care Plan.
- Term & Cancellation. Month-to-month until cancelled. Client may cancel with 30 days’ written notice via email before the next scheduled payment. Suspension and failed-payment handling follow Section 3.
- Fees & Taxes. Fees are as shown on the checkout/payment link, exclusive of taxes (GST/PST/HST added as applicable). Pricing may change prospectively.
- Guarantee. No performance guarantee applies to the standalone Care Plan.
- Migration on Termination. Upon cancellation/termination, Client is responsible for migrating to a new host within 30 days of written notice. Agency will provide reasonable export assistance of site files/content within that 30-day window (see Section 6).
- Other Terms. All general provisions (IP & Licenses, Confidentiality & Privacy, Disclaimers, Limitation of Liability, Indemnity, Subcontractors, Governing Law, etc.) apply to the standalone Care Plan.
20) Standalone Services — SEO Consulting (Hourly)
This section applies only when SEO Consulting time is purchased independently (i.e., not as part of Growth SEO or an add-on bundle).
- Scope. Advisory/consulting services performed hourly. Unless separately agreed in writing, consulting does not include implementation (site edits, GBP changes, content production, or 3rd-party account changes). Deliverables may include verbal advice and, upon request, a brief written action list or session notes.
- Scheduling & Use Window. Consulting time must be scheduled and used within 60 days of purchase. Sessions may be rescheduled with at least 24 hours’ notice. No-shows or cancellations inside 24 hours are forfeited.
- Fees & Taxes. Fees are as shown on the checkout/payment link, prepaid, exclusive of taxes (GST/PST/HST added as applicable).
- Refunds. Refunds are not available once a session begins. Prior to session start, rescheduling policies above apply; otherwise fees are non-refundable.
- Guarantee. No performance guarantee applies to standalone consulting.
- Liability Cap (Consulting). Notwithstanding Section 10, Agency’s aggregate liability for standalone consulting is capped at the amount paid for the consulting session(s) giving rise to the claim.
- Other Terms. All general provisions in these Terms (including Client Warranties & Compliance, Authorization to Act where applicable to advisory work, Confidentiality & Privacy, Disclaimers, Indemnity, Subcontractors, Governing Law, and Venue) apply to standalone consulting.
21) Standalone Services — Google Business Profile Reinstatement
This section applies only when GBP Reinstatement is purchased independently (i.e., not bundled with Growth SEO).
- Scope. Best-efforts assistance to prepare and submit reinstatement requests and appeals to Google for Client’s suspended/disabled GBP, including guidance on eligibility, document collection (e.g., business licenses, utility bills, signage), and communications with Google support.
- No Guarantee. Google makes final eligibility and reinstatement decisions. No guarantee of reinstatement, timing, review restoration, or ranking outcomes. Agency cannot control Google processes or outcomes.
- Client Cooperation. Client agrees to promptly provide requested documentation and truthful information. Failure to cooperate or provide accurate documents may delay or prevent reinstatement and does not entitle Client to a refund.
- Fees & Taxes. Fees are as shown on the checkout/payment link, exclusive of taxes. Unless expressly stated otherwise at checkout, fees are for Agency time/effort and are non-refundable regardless of outcome.
- Term. Engagement continues until completion of the agreed reinstatement work (or earlier termination by written notice). General provisions (Confidentiality & Privacy, Warranties, Indemnity, Limitation of Liability, Venue, etc.) apply.
- After Reinstatement. Ongoing optimization/management is not included unless purchased separately (see Section 22 or Growth SEO).
22) Standalone Services — Google Business Profile Optimization & Management
This section applies only when GBP Optimization & Management is purchased independently (i.e., not bundled with Growth SEO).
Other Terms. All general provisions in these Terms (including Client Warranties & Compliance, Confidentiality & Privacy, Disclaimers, Limitation of Liability, Indemnity, Subcontractors, Governing Law, and Venue) apply to this standalone service.
Scope. Ongoing optimization and management of a single verified GBP location, which may include profile hygiene/NAP consistency, categories/services, products/attributes, posts, photos/videos, Q&A, review monitoring and responses, and basic listing cleanup/reporting. Website work and the Website Care Plan are not included unless purchased separately.
Publishing Authority. Section 9 (Publishing Authority & Approvals) applies: by purchasing, Client authorizes Agency to post, upload photos/videos, and publish review responses on Client’s behalf on GBP and connected listings within scope.
No Performance Guarantee. Unless explicitly stated at checkout, no performance guarantee applies to the standalone GBP Optimization & Management service. (The Guarantee in Section 5 applies only to Growth SEO or to GBP add-ons purchased with Growth SEO under those terms.)
Term & Cancellation. Month-to-month until cancelled. Client may cancel with 30 days’ written notice via email before the next scheduled payment. Failed-payment and chargeback handling follow Section 3.
Fees & Taxes. Fees are as shown on the checkout/payment link, exclusive of taxes. Pricing may change prospectively.
Suspension. If Google suspends the GBP for reasons outside Agency’s control, service may continue for preparatory tasks; however, reinstatement assistance is not included unless purchased (see Section 21).
Client Responsibilities. Access to GBP admin and timely approvals (Section 4) are required. Changes to NAP or rebrands can materially affect outcomes.
Exhibit A — Guarantee Calculation Example (Informative)
For a given keyword on the Month-3 scheduled scan, take the center 3×3 grid ranks (nine values). Sort them and select the 5th value (the median). If that value is ≤ 3, the keyword passes. The Guarantee is satisfied if any one of the three approved keywords passes.
